THIS TERMS OF USE AGREEMENT (the “Agreement”) constitutes a legally binding agreement by and between READYCAN PTY LTD, a limited liability company organised under the laws of the state of Victoria, Australia (“READYCAN”) and the client, whether personally or on behalf of an entity (“Client”), with regard to access and use of Readycan's website: https://www.readycan.co/ (the “Website”) and any other media form, channel, mobile website or mobile application related, linked or otherwise connected thereto. Failure to agree and adhere to all of the terms, conditions and obligations contained herein results in the express prohibition of the Client’s use of the Website, and the Client is ordered to discontinue use immediately. Thereafter the relationship between Client and Readycan shall cease and be of no further force and effect between the parties, except that any obligation of Client to pay Readycan for services rendered shall remain and continue to be an ongoing obligation owed by Client to Readycan.
1. Intellectual Property Rights
All content and materials on the Readycan website are owned by Readycan and are protected by applicable intellectual property laws. No part of the website may be copied or used for commercial purposes without prior written permission from Readycan.
2. Ownership of Materials
All design and original source files created on the Client’s behalf belong to the Client. All delivered work is 100% owned by you. Readycan will only share design work publicly if agreed upon with the Client, as our non-disclosure processes are always in place by default.
3. Third-Party Fonts
Readycan will notify the Client if any project incorporates third-party fonts that require a commercial license. The Client is responsible for purchasing the necessary licenses.
4. User Representations
By using the website, the Client represents and warrants compliance with these Terms of Use.
5. Prohibited Activities
Clients are prohibited from using the website for any unlawful or unauthorized purposes.
6. Client Feedback
Any feedback or submissions made by the Client become the sole property of Readycan.
7. Management and Oversight
Readycan reserves the right to monitor the website for violations and take appropriate legal action.
8. Privacy Policy
By using the website, the Client agrees to the Privacy Policy, and consents to data transfer and processing in Australia.
9. Returns and Refunds
Readycan offers a full refund if the client isn't happy with the result of the first task request. Refund requests are assessed on a case-by-case basis.
10. Modification
Readycan reserves the right to modify or discontinue any part of the website without notice.
11. Connection Interruptions
Readycan does not guarantee the website will be available at all times and is not liable for any interruptions.
12. Governing Law
These Terms of Use are governed by the laws of Victoria, Australia.
13. Litigation
Any legal action shall be brought in the state courts of Victoria, Australia.
14. Disclaimer
The website is provided "as-is" and Readycan disclaims all warranties.
15. Limitations of Liability and Indemnification
Readycan is not liable for any damages arising from the use of the website. Clients agree to indemnify Readycan against any claims arising from their use of the website.
16. User Data
The Client is responsible for all data transmitted through the website.
17. Electronic Communications
The Client consents to receive electronic communications and agrees that they satisfy any legal requirements for written communication.
18. Showcasing Design Work
Readycan will only share design work publicly if agreed upon with the Client, as our non-disclosure processes are always in place by default.
19. Miscellaneous
These Terms of Use constitute the entire agreement between the Client and Readycan. If any provision is deemed unlawful or unenforceable, it shall be severed from the Terms without affecting the validity of the remaining provisions.
